Terms of Service

Last updated: December 2024

1. Introduction and Acceptance of Terms

Welcome to ClearClause. These Terms of Service ("Terms") govern your access to and use of the ClearClause website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

ClearClause is an AI-powered legal document analysis tool that provides plain-language explanations of legal documents. The Service is designed to help users understand complex legal language but is not a substitute for professional legal advice.

2. Description of Service

ClearClause provides an AI-powered platform that analyzes legal documents and generates plain-language explanations of their content. The Service includes:

  • Document upload and text submission for analysis
  • Clause-by-clause explanations in plain language
  • Risk assessment and red flag identification
  • Document summary and key obligations extraction
  • Multi-language support for document analysis
  • Export functionality (PDF, DOCX, shareable links)

3. Important Disclaimer - Not Legal Advice

THE SERVICE PROVIDES EXPLANATIONS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL ADVICE. CLEARCLAUSE IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL SERVICES.

The analyses and explanations provided by the Service are generated by artificial intelligence and may contain errors, omissions, or inaccuracies. The Service should not be relied upon as a substitute for professional legal advice. You should always consult with a qualified attorney regarding any legal matters or before signing any legal document.

ClearClause does not warrant that the analyses provided are accurate, complete, or suitable for any particular purpose. Use of the Service is at your own risk.

4. Account Registration and Security

To access certain features of the Service, you may be required to create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes, including attempts to circumvent usage limits or abuse free trial features.

5. Payment Terms and Subscriptions

5.1 Pricing and Billing

ClearClause offers various pricing options including free analyses, pay-per-document, and monthly subscriptions. All prices are displayed in USD and are subject to change with notice. Payment is processed through our third-party payment processor, Paddle.

5.2 Subscription Terms

Monthly subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to subscription features until the end of your current billing period.

5.3 Free Analysis Allocation

New users may receive complimentary document analyses as part of our free trial offer. These free analyses are limited to one per anonymous user, with an additional free analysis granted upon account creation. Attempting to circumvent these limits through multiple accounts, device manipulation, or other means constitutes a violation of these Terms.

6. Refund Policy

6.1 Pay-Per-Document Purchases

Due to the immediate delivery of our digital service, pay-per-document purchases are generally non-refundable once the analysis has been generated. If you experience a technical issue that prevents the delivery of your analysis, please contact our support team within 48 hours for assistance.

6.2 Subscription Payments - Non-Refundable

Subscription payments that have been validly collected are non-refundable.

This policy exists for the following reasons:

  • Immediate Access: Upon subscription, you receive immediate and unlimited access to our AI-powered document analysis service. Unlike physical goods that can be returned, the value of our service is delivered instantaneously and cannot be "returned."
  • Resource Commitment: Each analysis utilizes significant computational resources, including advanced AI processing. These costs are incurred regardless of how many documents you analyze during your subscription period.
  • Fair Usage: Our subscription pricing is based on the expected usage patterns of subscribers over time. Allowing refunds after usage would create an unfair system where users could analyze many documents and then request refunds.
  • Abuse Prevention: A non-refundable policy helps prevent abuse of our service, ensuring that we can continue to provide high-quality analyses at competitive prices for all users.

We encourage you to take advantage of our free trial analyses before subscribing to ensure the Service meets your needs. You may cancel your subscription at any time to prevent future charges, and you will retain access until the end of your current billing period.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Upload documents containing illegal content or malware
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Create multiple accounts to circumvent usage limits or abuse free features
  • Use automated tools, bots, or scrapers to access the Service
  • Resell, redistribute, or commercially exploit the Service without authorization
  • Reverse engineer or attempt to extract the source code of the Service

8. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by ClearClause and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any documents you upload to the Service. By uploading documents, you grant ClearClause a limited license to process and analyze those documents solely for the purpose of providing the Service.

9. Privacy and Data Protection

Your privacy is important to us. Our data practices include:

  • Documents are encrypted during transmission and processing
  • Uploaded documents are not stored permanently without your consent
  • Documents are deleted after processing unless you choose to save them
  • We do not sell your personal information to third parties
  • Analysis results can be deleted from your account at any time

For more details, please review our Privacy Policy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARCLAUSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any errors, inaccuracies, or omissions in the analyses provided
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on the Service
  • Any reliance on the Service as a substitute for professional legal advice

In no event shall ClearClause's total liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ClearClause, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with applicable arbitration rules.

15. Contact Information

If you have any questions about these Terms, please contact us through our support channels. We are committed to addressing your concerns and providing clarification on any aspect of these Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and ClearClause regarding the Service and supersede all prior agreements and understandings, whether written or oral.
